Terms of Service

1. Who we are

PortLens (ABN 59 498 934 467) ("PortLens", "we", "us", "our") operates the PortLens website and application (the "Service"). By creating an account or using the Service you agree to these Terms. If you don't agree, please don't use the Service. Questions: connect@portlens.com.au.

2. Important — not financial advice

PortLens is an information and risk-analysis tool only. In particular:

  • We do not provide personal financial product advice, and we do not take into account your objectives, financial situation or needs.
  • We do not provide general financial product advice or any investment recommendation.
  • Nothing in the Service is an offer, solicitation or recommendation to buy, hold or sell any financial product.
  • All content and analysis is informational only and is not a substitute for advice from a licensed financial adviser.
  • Past or historical performance is not a reliable indicator of future results.
  • Information and data may be delayed, incomplete or inaccurate, and some factor attribution is illustrative.
  • You remain solely responsible for your own investment decisions and for obtaining your own professional advice.

3. Privacy

Your use of PortLens is also governed by our Privacy Policy, which explains how we collect, use, store and disclose personal information. By using the Service you agree to that policy.

4. Your account & security

You must be at least 18 years old and provide accurate information. You are responsible for keeping your login details secure and for all activity under your account. You must not share your credentials, and you must notify us immediately at connect@portlens.com.au if you believe your account has been accessed without authorisation or otherwise compromised.

5. Subscriptions & billing

Paid plans are billed in Australian dollars through our payment processor, Stripe, and renew automatically each billing period until cancelled. You can cancel anytime; access continues until the end of the current period.

We may suspend or terminate a subscription where a payment cannot be processed or is reversed. Except where required by law, payments are non-refundable for partial periods. We may change plans or pricing with reasonable notice; changes don't affect the period you've already paid for.

6. Acceptable use & prohibited conduct

When using PortLens, you must not:

  • use the Service unlawfully, fraudulently, or for any harmful purpose;
  • introduce malware, viruses or any harmful code;
  • use bots, scrapers or other automated means to access or extract data;
  • make excessive or abusive API requests, or otherwise interfere with or place undue load on the Service;
  • attempt to bypass, disable or circumvent security, access controls or subscription/paywall controls;
  • reverse-engineer, decompile or attempt to derive our source code, or resell or sublicense the Service;
  • impersonate any person or misrepresent your affiliation; or
  • access or attempt to access another user's account or data.

7. Your content & licence to us

You keep ownership of the portfolio data and other content you enter ("Your Content"). You grant us a non-exclusive, royalty-free licence to host, store, process, reproduce and analyse Your Content solely to provide, secure and improve the Service. You are responsible for ensuring you have the right to provide Your Content.

8. Intellectual property

We own PortLens and its content, software and branding. We grant you a personal, non-transferable right to use the Service while these Terms apply. All rights not expressly granted are reserved.

9. Market data

Market and macro data is supplied by third-party providers under licence. We do not guarantee its accuracy, completeness, timeliness or availability, and we are not responsible for errors, delays or interruptions in data supplied by those providers.

10. Service availability & maintenance

We aim to keep the Service available but do not guarantee uninterrupted access. We may suspend, interrupt or restrict the Service (in whole or in part) for maintenance, upgrades, security, or operational reasons, and we will try to give reasonable notice where practical.

11. No warranty

To the extent permitted by law, the Service is provided "as is" and "as available". We don't warrant that it will be uninterrupted or error-free, or that any data or analysis is accurate, complete or fit for a particular purpose.

12. Australian Consumer Law & liability

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

Subject to that, and to the maximum extent permitted by law, PortLens is not liable for any indirect, incidental or consequential loss, or for any trading or investment losses arising from your use of the Service, and our total aggregate liability is limited to the amount you paid us in the 12 months before the claim.

13. Indemnity

To the extent permitted by law, you agree to indemnify us for reasonable losses, costs and liabilities arising from your unlawful use of the Service or your breach of these Terms.

14. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including cloud or hosting outages, internet or telecommunications failures, cyber incidents, natural disasters, pandemics, or government action.

15. Export & sanctions

You must not use the Service in breach of any applicable export controls or sanctions laws, and you confirm you are not located in, or acting on behalf of anyone in, a country or group subject to such sanctions.

16. Suspension & termination

We may suspend or terminate your access if you breach these Terms or to protect the Service or other users. You may stop using PortLens and close your account at any time.

17. What happens after your account closes

Following account closure we may retain information where required by law or reasonably necessary for legal, security, fraud-prevention or legitimate business purposes, as described in our Privacy Policy.

18. Changes to these Terms

We may update these Terms from time to time. We'll update the date above, and continued use after changes means you accept the updated Terms.

19. Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign or transfer our rights and obligations, including in connection with a sale, merger or reorganisation of our business.

20. Entire agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede any prior arrangements on that subject.

21. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue to apply.

22. Governing law

These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the courts of Queensland and the courts able to hear appeals from them.
